ALBUMHUB TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

1.1 Governing Agreement

These Terms of Service ("Terms") govern your use of AlbumHub's photo organization platform and related services (the "Service"), including our website at www.albumhub.co, mobile applications, and any related services provided by Outer Limits AI LLC ("AlbumHub," "we," "us," or "our").

In this agreement, "Outer Limits AI LLC" means Outer Limits AI LLC, a Texas limited liability company located at 3801 N Capital of Texas Hwy, Ste E240-3703, Austin TX 78746. "Outer Limits AI LLC" includes affiliates, which means subsidiaries, parent companies, joint ventures, and other corporate entities under common ownership.

By creating an account or accessing or using the Service, you accept and agree to be bound by these Terms of Service and consent to the collection, use, and storage of your information as outlined in our Privacy Policy.

1.2 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to read our Privacy Policy carefully to understand how we collect and use your information, including how we access and process Google Photos data when you grant permission.

1.3 Updates to These Terms

We reserve the right to modify these Terms at any time by posting the amended Terms on the Service. We may also notify you of changes via email or through a notice on the Service. Amended Terms become effective 30 days after posting unless we specify otherwise.

By continuing to use the Service after changes take effect, you agree to the updated Terms. If you do not agree to any changes, you must stop using the Service immediately.

This agreement may not be amended except in a writing signed by both you and us. For purposes of this provision, "writing" does not include an email message, and a signature does not include an electronic signature.

If these Terms conflict with any other AlbumHub policy or documentation, these Terms control.


2. SERVICE DESCRIPTION

2.1 What AlbumHub Does

AlbumHub is a photo organization platform that helps groups organize and share photos backed by Google Photos. The Service supports two paths for photo collaboration within a group:

Lightweight mode — linked Google Photos albums. You create a group with customizable organization (by decade, year, season, or custom categories) and add links to existing Google Photos albums you or your group already manage. AlbumHub stores the album URL, title, category, and any optional cover photo you upload. AlbumHub does not host or store the photos themselves, and no Google Photos permissions are required for this mode.

Native mode — AlbumHub-managed shared albums. When you grant permission, AlbumHub can create a shared Google Photos album for your group, let group members contribute photos to that album from within AlbumHub, manage the album's title and cover, and attach AI-generated captions to contributed photos for in-group search. The photos themselves are stored in Google Photos, not in AlbumHub. AlbumHub accesses Google Photos only under the specific permissions you grant, each of which is requested in context for a specific action. Section 6 describes these permissions in detail. The Privacy Policy describes what data AlbumHub processes, stores, and retains.

Important: AlbumHub does not host, back up, or archive your photo library. Photos remain in Google Photos. For photos contributed through AlbumHub's native mode, the photo file passes through AlbumHub's servers in memory only (typically under thirty seconds) on its way to Google Photos and is not retained after the upload is acknowledged. AlbumHub stores only the information needed to present your group: album links or identifiers, album titles, categories, optional cover photos, and, when AI captioning is enabled, the text captions themselves.

2.2 Free and Pro Tiers

Free Tier:

  • Up to 7 albums per group
  • Unlimited group members and viewers
  • All organization features (lightweight mode and native mode)
  • Public or password-protected groups

Pro Tier:

  • Unlimited albums per group
  • All Free tier features
  • Priority support
  • Additional features as we add them

Pro features and pricing may change at any time. We will notify existing Pro subscribers 30 days before changes affect their subscription.


3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 13 years old to use AlbumHub. If you are under 13, you may not create an account or use the Service.

If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms.

3.2 Account Requirements

To use certain features of the Service, you must:

  • Have a valid Google account for sign-in
  • Provide accurate and complete registration information
  • Maintain and promptly update your account information
  • Not create an account using false identity or information
  • Not create an account on behalf of someone else without permission

You may have only one account at any given time.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access or security breach

You agree not to:

  • Share your account with others
  • Let anyone else access your account
  • Do anything that might jeopardize your account security

3.4 Prohibited Users

You may not create an account or use the Service if you:

  • Are a convicted sex offender
  • Have previously been banned from AlbumHub
  • Have had an account terminated for violating these Terms
  • Are located in a country embargoed by the United States
  • Are on the U.S. Treasury Department's list of Specially Designated Nationals

4. SUBSCRIPTION AND BILLING

4.1 Free Tier

The Free tier is available at no cost and includes:

  • Up to 7 albums per group
  • Core features and functionality
  • No payment information required

4.2 Pro Subscription

Pricing: Pro subscriptions cost $29 per year (or current published pricing at www.albumhub.co/pricing).

Payment Processing: All payments are processed by Stripe, Inc. By subscribing to Pro, you agree to Stripe's Terms of Service. We do not store your credit card information.

Auto-Renewal: Pro subscriptions automatically renew each year on your renewal date. You will be charged the then-current Pro price unless you cancel before renewal.

Cancellation: You may cancel your Pro subscription at any time through your account settings or via the Stripe Customer Portal. Cancellation prevents future charges but does not provide a refund for the current subscription period.

4.3 What Happens When Pro Expires or Is Cancelled

If your Pro subscription expires or is cancelled and your group has more than 7 albums:

30-Day Grace Period:

  • For 30 days after cancellation, you retain full access to view and edit all albums
  • You may re-subscribe to Pro at any time during this period
  • You may delete albums to get under the 7-album Free tier limit

After 30 Days:

  • Albums exceeding the Free tier limit (albums 8+) will be automatically deleted
  • The 7 most recently added albums will be retained
  • Deleted albums are permanently removed after the deletion (subject to our 30-day data retention policy in Section 10)

Important: Deleting albums from AlbumHub does not delete photos from Google Photos. Your photos and Google Photos collaborations remain intact.

4.4 Refund Policy

Subscriptions are generally non-refundable. We will consider refund requests on a case-by-case basis. Contact legal@albumhub.co with refund requests.

European Union users may have additional rights under local law, including the right to cancel within 7 days of purchase (the "Cooling Off Period"). However, since we provide the Service immediately upon purchase, your right of withdrawal may be waived.

4.5 Price Changes

We may change Pro subscription pricing at any time. Price changes apply to new subscriptions immediately and to existing subscriptions at the next renewal date. We will notify you at least 30 days before your renewal if pricing has changed. You may cancel before renewal to avoid the new price.

4.6 Taxes

You are responsible for any applicable sales tax, VAT, GST, or other taxes on your subscription based on your location.


5. SERVICE USAGE RULES

5.1 Permitted Use

You may use AlbumHub only for personal, non-commercial purposes to organize and share photo albums with groups you belong to.

5.2 Prohibited Uses

You agree that you will NOT:

General Restrictions:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Use the Service in any way that violates these Terms or AlbumHub's policies
  • Circumvent or manipulate the Service, its features, or its limitations
  • Use the Service to harm, harass, threaten, or abuse others
  • Impersonate any person or entity
  • Create fake groups or accounts for spam or malicious purposes

Commercial Restrictions:

  • Use the Service for commercial purposes without our written permission
  • Advertise, solicit, or transmit commercial messages through the Service
  • Sell, rent, or transfer your account to anyone
  • Use the Service to build a competing product
  • Monitor the Service to copy features or functionality

Content Restrictions:

  • Post, link to, or contribute content that is illegal, obscene, defamatory, or otherwise objectionable
  • Post, link to, or contribute content that infringes copyright, trademark, or other intellectual property rights
  • Post, link to, or contribute content containing nudity, excessive violence, or hate speech
  • Link to malicious websites or phishing sites
  • Share others' private information without permission

Technical Restrictions:

  • Access the Service through automated means (bots, scrapers, etc.) except as allowed by our API
  • Reverse engineer, decompile, or attempt to derive source code from the Service
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Distribute viruses, malware, or other harmful code through the Service
  • Bypass any security measures or rate limits

Google Photos Restrictions:

  • Contribute or link to photos you don't own or have permission to share
  • Link to Google Photos albums with inappropriate privacy settings
  • Violate Google's Terms of Service when using Google Photos
  • Use AlbumHub's Google Photos integration in any way not expressly permitted by Section 6 of these Terms and our Privacy Policy

5.3 Competitor Use

Competitors may not use AlbumHub to monitor, copy, or build competing products without our prior written consent. "Competitors" means any person or entity that develops, distributes, or provides photo organization services similar to AlbumHub.


6. GOOGLE PHOTOS INTEGRATION

6.1 How AlbumHub Works With Google Photos

AlbumHub integrates with Google Photos in two ways, corresponding to the two modes described in Section 2.1.

Lightweight mode (no Google Photos permissions required):

You provide Google Photos album URLs to AlbumHub, and AlbumHub stores and displays them as part of your group. No Google Photos permissions beyond Google Sign-In for authentication are required. In this mode, AlbumHub does not access your Google Photos library at all.

Native mode (Google Photos permissions required, granted contextually by you):

When you take an action that requires Google Photos access, AlbumHub requests the specific Google Photos permission needed for that action. Two permissions may be requested, each explained on its own consent screen:

  • photoslibrary.appendonly — Upload to your Google Photos. Lets AlbumHub upload photos you select to your Google Photos library, placing them in the group's shared album. This permission is strictly upload-only. AlbumHub cannot read, list, search, or modify any photo already in your library.

  • photoslibrary.edit.appcreateddata — Edit the info on albums AlbumHub creates. Lets AlbumHub manage the title, cover photo, and photo descriptions on albums that AlbumHub itself created. This permission is scoped to AlbumHub-created content. AlbumHub cannot access or modify any album or photo you created outside of AlbumHub.

Scopes AlbumHub does NOT request:

AlbumHub does not request and does not use any of the following: photoslibrary (full library access), photoslibrary.readonly, photoslibrary.sharing, or photoslibrary.edit (unrestricted edit). AlbumHub will never read, list, search, or analyze any pre-existing content in your Google Photos library.

Photo handling during native-mode contribution:

When you contribute a photo through AlbumHub's native mode, the photo file passes through AlbumHub's servers in memory only (typically under thirty seconds) on its way to Google Photos. AlbumHub does not write the photo to disk, does not back it up, and does not retain a copy after the upload is acknowledged by Google Photos.

Optional AI captioning:

Group owners may enable AI captioning, which uses a third-party AI provider to generate a short text caption for each photo contributed to the group. AI captioning is opt-in at the group level and can be disabled by the group owner at any time. When disabled, all existing captions for that group are deleted within 24 hours. The Privacy Policy describes this flow in detail, including our commitment that AI captions describe scenes, not faces, and are never used to train AI models.

Revocation:

You can revoke AlbumHub's Google Photos permissions at any time, either inside AlbumHub at Settings → Connected accounts → Disconnect Google Photos, or on Google's side at myaccount.google.com/permissions.

6.2 Your Responsibilities

By linking Google Photos albums to AlbumHub, contributing photos through AlbumHub, or granting AlbumHub Google Photos permissions, you represent and warrant that:

  • You own the Google Photos album or photos, or have permission from the owner to share or contribute them
  • The linked or contributed content does not violate any laws, third-party rights, or Google's Terms of Service
  • You have set appropriate privacy and sharing settings in Google Photos (for linked albums) or you are comfortable with the privacy settings AlbumHub uses when it creates native albums on your behalf (for native mode)
  • You understand that anyone with access to your AlbumHub group can view linked albums (subject to Google Photos permissions) or contributed photos (within the group's shared album)

6.3 Google Photos Privacy and Permissions

For linked albums (lightweight mode):

Album privacy is controlled by Google Photos settings, not AlbumHub. When you link a Google Photos album:

  • Anyone who can view your AlbumHub group can click the link
  • Whether they can view photos depends on Google Photos sharing permissions you set
  • You are responsible for managing Google Photos privacy settings
  • We cannot control who views photos through Google Photos links

If you change Google Photos permissions or delete an album in Google Photos, update or remove the corresponding link in AlbumHub.

For native mode:

When AlbumHub creates a shared album for your group, the album is created in the group owner's Google Photos library with sharing permissions set so that group members can view and contribute. Group members access the photos through AlbumHub or through Google Photos if they have a direct share link. If you change sharing settings on the album in Google Photos (for example, making it private), AlbumHub will reflect the change on subsequent operations but will not automatically alter group membership.

6.4 AlbumHub's Relationship With Google

AlbumHub is not affiliated with, endorsed by, or sponsored by Google LLC. Google Photos is a service provided by Google under Google's Terms of Service and Privacy Policy. AlbumHub uses the Google Photos Library API as a developer on Google's platform, under Google's OAuth verification program.

We make no warranties about:

  • Google Photos availability or functionality
  • Whether Google Photos links will continue to work
  • Whether Google will change or remove API capabilities AlbumHub depends on
  • Google Photos' compliance with laws or regulations
  • Google's handling of your photos or data

6.5 Link and Contribution Validation

For lightweight mode, AlbumHub validates that URLs are properly formatted Google Photos links (matching photos.app.goo.gl/* or photos.google.com/* patterns). We do not verify that links actually work or that you have permission to share them. Broken or inaccessible links are your responsibility to update or remove.

For native mode, AlbumHub relies on Google Photos to validate and accept uploaded photos. If Google Photos rejects a contribution (for example, due to file format, size, or policy restrictions), AlbumHub will surface the error and discard the in-memory copy of the photo.

6.6 Google Photos API Compliance

AlbumHub's use of the Google Photos Library API is subject to Google's API Services User Data Policy, including the Limited Use requirements. AlbumHub will not:

  • Transfer your Google Photos data to a third party except for the narrow purposes described in the Privacy Policy (delivery to Google Photos itself, caption generation by a disclosed AI provider, infrastructure hosting, and error tracking)
  • Use your Google Photos data for serving advertising
  • Use your Google Photos data to develop, improve, or train generalized or non-personalized AI or machine-learning models
  • Allow humans to read your Google Photos data, except with your affirmative consent, for security or legal reasons, or as required to operate the Service (e.g., when you report an issue and provide the specific content for troubleshooting)

7. USER CONTENT AND LICENSES

7.1 What Is User Content

"User Content" means any content you create, upload, contribute, or transmit through the Service, including:

  • Google Photos links you add
  • Photos you contribute through AlbumHub's native mode (held in server memory during upload transit only)
  • Album titles and descriptions you write
  • Cover photos you upload
  • Group names and descriptions
  • Comments or messages (if we add these features)

User Content does NOT include the photos stored in your Google Photos library. Those remain in Google Photos and are governed by Google's terms.

7.2 Your Responsibilities for User Content

You are solely responsible for your User Content. By creating, uploading, or contributing User Content, you represent and warrant that:

  • You own the User Content or have all necessary rights and permissions (including consent from any identifiable individuals depicted, where required by law)
  • Your User Content does not violate these Terms, any applicable laws, or third-party rights
  • Your User Content is accurate and not misleading
  • Your User Content does not contain viruses or malicious code

7.3 License You Grant to Us

You retain ownership of your User Content. However, to operate the Service, you grant AlbumHub a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your User Content solely for the purpose of:

  • Providing and operating the Service (including transmitting contributed photos to Google Photos on your behalf and generating AI captions when you have enabled captioning)
  • Improving the Service (excluding any use of photos or captions to train AI models, which we will not do)
  • Promoting AlbumHub (e.g., showing example groups in marketing materials with your permission)

This license ends when you delete your User Content, except:

  • Content shared with other users may remain visible to them (unless they delete it or you delete the containing group)
  • Content used in our marketing (with permission) may remain in promotional materials
  • Backup copies may persist for up to 30 days per our data retention policy

7.4 AlbumHub's Rights to User Content

We have the right (but not the obligation) to:

  • Monitor User Content for compliance with these Terms
  • Remove or refuse to post any User Content for any reason
  • Terminate accounts that repeatedly post inappropriate content

We may (but are not required to) review reported content and take action if it violates these Terms. We do not proactively inspect photos you contribute through the Service.

7.5 Prohibited Content

You may not post, upload, link to, or contribute content that:

  • Is illegal, fraudulent, defamatory, obscene, pornographic, or otherwise objectionable
  • Infringes any intellectual property, privacy, or other rights
  • Contains hate speech or incites violence or discrimination
  • Contains malware, viruses, or other harmful code
  • Violates any applicable law or regulation
  • Violates Google Photos' Terms of Service or Community Guidelines
  • Contains photos of identifiable minors without parental or guardian consent

7.6 Reporting Inappropriate Content

If you see content that violates these Terms, you may report it to legal@albumhub.co. We will review reports and take appropriate action, which may include removing content or terminating accounts.


8. INTELLECTUAL PROPERTY

8.1 AlbumHub's Intellectual Property

The Service and all of its content, features, and functionality (including but not limited to software, code, designs, text, graphics, logos, and trademarks) are owned by Outer Limits AI LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works from the Service
  • Use AlbumHub trademarks without written permission
  • Remove or alter any copyright or proprietary notices
  • Frame or mirror any part of the Service

8.2 Account Ownership

You acknowledge and agree that you have no ownership rights in your AlbumHub account. All rights in and to your account are owned by Outer Limits AI LLC.

However, you retain ownership of your User Content (as described in Section 7.3).

8.3 Feedback and Suggestions

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use them without any obligation to compensate you. We have no duty to keep your feedback confidential or to implement it.


9. PRIVACY POLICY

Your privacy is important to us. Our Privacy Policy explains:

  • What information we collect
  • How we use and share information
  • How we handle Google Photos data and AI captioning
  • Your rights regarding your information
  • How we protect your information

By using the Service, you agree to our Privacy Policy, available at www.albumhub.co/privacy.


10. DATA RETENTION AND DELETION

10.1 Active Accounts

We retain your account data and User Content as long as your account is active and you continue using the Service.

10.2 Inactive Accounts

We do not automatically delete inactive accounts. Your groups and albums remain available indefinitely, even if you don't use the Service.

10.3 Account Deletion

You may delete your account at any time through your account settings. When you request deletion:

Immediate Effect:

  • You lose access to your account and all groups you own
  • OAuth refresh tokens are revoked immediately, preventing any further Google Photos API calls on your behalf
  • Your groups and albums are marked for deletion

30-Day Grace Period:

  • Your data is retained for 30 days after deletion request
  • You may contact us within 30 days to restore your account
  • During this period, your data is not visible to other users

After 30 Days:

  • Your account and all associated data are permanently deleted
  • This includes all groups you own, albums you added, AI captions from groups you owned, and account information
  • Deletion is permanent and cannot be undone

Note: Deleting your account does NOT delete:

  • Photos in Google Photos (they remain in your Google account; delete them from Google Photos if desired)
  • Groups owned by other users where you added albums or contributed photos
  • Albums you added or photos you contributed to other users' groups (they remain in those groups)

10.4 Revocation of Google Photos Access (without account deletion)

You may revoke AlbumHub's Google Photos permissions independently of deleting your account:

  • Inside AlbumHub at Settings → Connected accounts → Disconnect Google Photos
  • On Google's side at myaccount.google.com/permissions

Revocation stops AlbumHub from making any further Google Photos API calls on your behalf. Photos you previously contributed remain in your Google Photos account and in the groups' shared albums. AI captions previously generated remain in AlbumHub until you disable captioning at the group level or delete the group.

10.5 Data Retention for Legal Compliance

We may retain certain information as required by law, to resolve disputes, enforce our agreements, or for legitimate business purposes such as fraud prevention.


11. THIRD-PARTY SERVICES

11.1 Third-Party Services We Use

AlbumHub uses the following third-party services to operate:

Google LLC:

  • Google Sign-In for authentication
  • Google Photos Library API for contribution and album metadata operations you grant permission for
  • Google's Terms of Service and Privacy Policy apply

Anthropic, PBC:

  • AI caption generation via the Claude API, when AI captioning is enabled for a group
  • Anthropic's Commercial Terms prohibit training on customer API data
  • Anthropic's Terms and Privacy Policy apply

Stripe, Inc:

  • Payment processing for Pro subscriptions
  • Stripe's Terms of Service and Privacy Policy apply
  • We do not store your credit card information

Resend:

  • Email delivery for service emails
  • Resend's Privacy Policy applies

Vercel Inc:

  • Website hosting and infrastructure
  • Vercel's Privacy Policy applies

Supabase Inc:

  • Database and backend services, including encrypted storage of OAuth refresh tokens
  • Supabase's Privacy Policy applies

Google Analytics:

  • Usage analytics (with your consent)
  • Google's Privacy Policy applies

Sentry:

  • Error tracking and monitoring
  • Sentry's Privacy Policy applies

The current list of AI providers used for captioning is maintained at albumhub.co/privacy/ai-providers.

11.2 Third-Party Links

The Service may contain links to third-party websites, including Google Photos albums. We are not responsible for:

  • The availability, content, or functionality of third-party sites
  • Third-party terms of service or privacy policies
  • Any damages arising from your use of third-party sites

Clicking third-party links is at your own risk.

11.3 No Endorsement

The inclusion of any link or third-party service does not imply endorsement by AlbumHub. We make no warranties about third-party services.


12. COPYRIGHT POLICY (DMCA)

12.1 Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe content accessible through AlbumHub infringes your copyright, please notify us.

12.2 DMCA Notices

To file a copyright infringement claim under the Digital Millennium Copyright Act (DMCA), send a notice to:

Your notice must include:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the allegedly infringing material (specific URL, album link, or group identifier)
  • Your contact information (address, phone number, email)
  • A statement that you have a good faith belief the use is not authorized
  • A statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

12.3 Repeat Infringers

We may terminate accounts of users who repeatedly infringe copyrights.

12.4 Google Photos Content

Important: The location of the photo itself determines the correct place to file a DMCA notice:

  • For photos linked via lightweight mode (URLs only): AlbumHub will remove the infringing link from AlbumHub on a valid DMCA notice. To remove the actual photo, file a DMCA notice with Google.
  • For photos contributed via native mode: AlbumHub will remove references (media identifiers and captions) from our database on a valid DMCA notice. Because the photo itself is hosted in a user's Google Photos library, removing it fully also requires a DMCA notice to Google or the account owner's action in Google Photos.

13. DISCLAIMERS AND WARRANTIES

13.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • The Service will meet your requirements
  • Any errors will be corrected
  • The Service will be available at any particular time or location
  • AI-generated captions will be accurate, complete, or free of error (captions are best-effort descriptions of photo content and should not be relied upon as factual)

13.2 Google Photos Availability

WE MAKE NO WARRANTIES ABOUT:

  • The availability or functionality of Google Photos or the Google Photos API
  • Whether Google Photos links or native-mode integration will continue to work
  • Google Photos' compliance with laws or your needs
  • The accuracy or reliability of linked or contributed content

13.3 User Content

WE DO NOT:

  • Endorse any User Content
  • Verify the accuracy of User Content
  • Guarantee that User Content complies with applicable laws
  • Take responsibility for User Content created by others

13.4 Third-Party Services

WE ARE NOT RESPONSIBLE FOR:

  • The availability or performance of third-party services (Google, Anthropic, Stripe, etc.)
  • Third-party terms of service or privacy policies
  • Actions taken by third-party services

13.5 No Guarantee of Results

We do not guarantee that using AlbumHub will achieve any particular result or that the Service will meet your expectations.


14. LIMITATION OF LIABILITY

14.1 Scope of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTER LIMITS AI LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, "ALBUMHUB PARTIES") SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM:
    • Your use or inability to use the Service
    • Unauthorized access to or alteration of your data
    • Third-party conduct or content (including other users)
    • Errors or inaccuracies in AI-generated captions
    • Any other matter relating to the Service

14.2 Maximum Liability

TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 180 DAYS IMMEDIATELY PRECEDING YOUR CLAIM.

IF YOU HAVE NOT PAID US ANYTHING IN THE 180 DAYS BEFORE YOUR CLAIM, YOUR SOLE REMEDY IS TO STOP USING THE SERVICE AND CANCEL YOUR ACCOUNT.

14.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

14.4 Third-Party Conduct

YOU AGREE THAT ALBUMHUB PARTIES ARE NOT LIABLE FOR THE CONDUCT OF OTHER USERS, THIRD-PARTY SERVICES, OR EXTERNAL WEBSITES. THE RISK OF USING THE SERVICE RESTS ENTIRELY WITH YOU.


15. INDEMNIFICATION

15.1 Your Agreement to Indemnify

You agree to indemnify, defend, and hold harmless AlbumHub Parties from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, publicity, or consent-to-image rights
  • Your User Content (including photos you contribute)
  • Any dispute between you and another user

15.2 Our Rights

We reserve the right, at your expense, to assume exclusive defense and control of any matter for which you must indemnify us. You agree to cooperate with our defense of such claims.

We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

15.3 Survival

This indemnification obligation survives termination of your account or these Terms.


16. TERMINATION

16.1 Termination by You

You may terminate your account and stop using the Service at any time by:

  • Deleting your account through account settings
  • Emailing legal@albumhub.co with a deletion request

Upon termination:

  • You immediately lose access to your account
  • OAuth refresh tokens are revoked
  • Your subscription (if any) is cancelled (no refund for remaining time)
  • Your data enters our 30-day deletion process (see Section 10)

16.2 Termination by Us

WE MAY LIMIT, SUSPEND, OR TERMINATE YOUR ACCOUNT OR ACCESS TO THE SERVICE AT ANY TIME, WITH OR WITHOUT NOTICE, FOR ANY REASON, INCLUDING IF:

  • You violate these Terms or our policies
  • We suspect illegal or improper use of the Service
  • We are required to do so by law
  • Continuing to provide the Service creates risk or legal liability
  • You engage in conduct harmful to other users or our business

Upon termination:

  • You immediately lose access to your account and all content
  • We may delete your data in accordance with our retention policy
  • We are not required to provide refunds or compensation

16.3 Effect of Termination

When your account is terminated (by you or us):

You Lose:

  • Access to your account and groups
  • All albums you added or contributed to (links and references, not the photos themselves)
  • Account settings and preferences
  • Pro subscription benefits (no refund)

You Keep:

  • Your photos in Google Photos (AlbumHub does not hold them)
  • Google Photos collaborations (independent of AlbumHub)

We May Retain:

  • Data required for legal compliance
  • Data needed to resolve disputes or enforce our rights
  • Backup copies for up to 30 days

16.4 Survival

The following sections survive termination: Sections 7 (User Content licenses), 8 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 17 (Dispute Resolution), and 18 (General Provisions).

16.5 Service Discontinuation

We reserve the right to stop offering the Service (or any part of it) at any time, temporarily or permanently, with or without notice. We are not required to provide refunds or compensation if we discontinue the Service.


17. DISPUTE RESOLUTION

17.1 Governing Law

These Terms and any disputes arising out of or related to them or the Service shall be governed by the laws of the State of Texas, without regard to conflict of law provisions.

17.2 Jurisdiction and Venue

You agree that any legal action or proceeding between you and AlbumHub shall be brought exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of these courts and waive any objection to venue in Travis County, Texas.

17.3 Informal Resolution

Before filing a claim, we encourage you to contact us at legal@albumhub.co to seek an informal resolution. We will consider reasonable requests for alternative dispute resolution, such as mediation.

17.4 Arbitration Option

For any claim (excluding claims for injunctive or other equitable relief) where the total amount sought is less than $10,000, either party may elect to resolve the dispute through binding arbitration instead of court.

Arbitration Rules:

  • The arbitration shall be conducted by an established ADR provider mutually agreed upon by the parties
  • The arbitration shall be conducted by telephone, online, or based solely on written submissions (chosen by the party initiating arbitration)
  • The arbitration shall not involve any personal appearance by parties or witnesses unless mutually agreed
  • Any judgment on the award may be entered in any court of competent jurisdiction

17.5 Class Action Waiver

YOU AND ALBUMHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

17.6 Improperly Filed Claims

All claims must be filed in accordance with this Dispute Resolution section. If you file a claim contrary to this section, we may recover attorneys' fees and costs up to $1,000, provided we notified you in writing and you failed to withdraw the claim.

17.7 Time Limitation

Any claim arising out of or related to these Terms or the Service must be filed within one year after the claim arose. Otherwise, the claim is permanently barred.


18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AlbumHub regarding the Service and supersede all prior agreements and understandings.

18.2 Modifications

We may modify these Terms at any time as described in Section 1.3. The updated Terms will be posted on the Service with the new effective date.

18.3 Language

If we provide a translation of these Terms, the English version controls in the event of any conflict or inconsistency.

18.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

18.5 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of AlbumHub.

18.6 Assignment

We may assign or transfer these Terms or our rights and obligations under them to any person or entity at any time, with or without notice.

You may not assign or transfer these Terms or your rights under them without our prior written consent. Any attempted assignment without consent is void.

18.7 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and AlbumHub.

18.8 Notices

To You: We may provide notices to you via:

  • Email to the address associated with your account
  • Posting on the Service
  • In-app notifications

Notices sent by email or postal mail are deemed received when we acknowledge receipt.

18.9 Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or failures of third-party services (including Google Photos, Anthropic, Stripe, internet providers, etc.).

18.10 Export Controls

You may not use or export the Service in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country and that you are not on any U.S. government list of prohibited or restricted parties.

18.11 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails about your account, the Service, and promotional materials (if you opt in). You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
